Buying a service & trades business
Buying a service or trades business involves some patterns that recur regardless of the specific trade. Use this as a frame.
Owner dependency
Many service businesses are effectively a one-person operation with a brand wrapped around them. The first question is: when the seller walks out the door, what stays? Ask how many jobs the owner personally quotes, how many they personally execute, and what proportion of revenue comes from customers who specifically asked for the owner by name. A high number on any of those means you are buying a job rather than a business, and the valuation should reflect that.
Recurring revenue and contracts
Service contracts (boiler servicing, regular cleans, planned maintenance, gardening rounds) carry more weight than one-off jobs. Ask for the proportion of revenue that is contracted versus opportunistic, the renewal rate on contracts, and the average customer lifespan. Recurring revenue is the most valuable thing in a service business after a strong brand.
Staff, subcontractors, and vehicles
Who actually does the work? Permanent staff with clear handover paths are best. Subcontractors are flexible but mean the business may not own the relationships you think it does. Vehicles, tools, and any van fleet should be inventoried, with finance arrangements and ages clear.
Trade-specific consents
Gas Safe, NICEIC, Part P, FENSA, TrustMark, MCS, and others depending on the trade. Most are individual qualifications carried by named people. If the qualified person is the seller and they are not staying on, that is a real issue you need to plan around before you complete.
A few service-specific extras
- Quality of the customer relationship management system and what data actually transfers
- Online reviews and Google business presence (often the single biggest source of new enquiries)
- Quote-to-win ratio and what the typical job size looks like
- Any large or concentrated commercial customers and the risk of losing them in transition
How these businesses are valued
Service and trades businesses are typically valued on a multiple of profit, with the multiple varying significantly based on how dependent the business is on the current owner.
SDE multiples
For owner-operated service businesses, SDE multiples typically sit between 1.5x and 3x. The spread reflects:
- Lower end (1.5x-2x): sole-trader operation with no staff, owner does most of the work, no recurring contracts, low or no online presence, dependent on a small number of customers.
- Upper end (2.5x-3x): documented systems, several qualified staff, meaningful recurring contract revenue, established brand and online reviews, owner already in a quoting and oversight role rather than on the tools.
Asset value and rolling stock
Vans, plant, tools, and stock are usually valued at completion and either added to the asking price or included depending on how the seller has structured the listing. Always confirm which is which before you make an offer.
Recurring contracts and goodwill
The goodwill element of the valuation is often broken out separately from the asset value, especially when significant recurring contracts are in place. The contract book itself can be valued at a multiple of annual recurring revenue (commonly 1x to 2x for service contracts), with the rest of the business valued on SDE for the variable trade.
What pushes a service business above the range
A service business that has built genuinely transferable systems, has multiple qualified staff (with the relevant licences and registrations sitting on more than one person), and has 30% or more of revenue from recurring contracts can attract buyers willing to pay above the standard range. Conversely, a business where everything hinges on the current owner will struggle to clear the lower end of the SDE multiple.
